Incorporation of a Company

Purpose of a Subsidiary/Branch

To start a new business in Singapore, you can choose between Subsidiary Company or Branch office. However there is a main difference: a Subsidiary company is a separate legal entity meanwhile a Branch office is not.

The minimum setup for a Subsidiary Company is one shareholder that can be an individual or a corporation and must have at least one local resident director.

Branch office must have 2 Singapore Resident agents.

Our experience is that Subsidiaries are easier to incorporate and much more common.
